Terms of Use
The rules for using Hushnote and for the Hushnote Pro subscription, in plain words.
1. Agreement
These Terms of Use are an agreement between you and BLACK LAYERS CORP. ("Black Layers", "we", "us"), a corporation registered in Alberta, Canada, for the Hushnote iOS app. By installing or using Hushnote you accept them. If you do not accept them, do not use the app. They apply together with Apple's Licensed Application End User Licence Agreement (https://www.apple.com/legal/internet-services/itunes/dev/stdeula/). Where the two conflict on a matter Apple governs, Apple's terms prevail.
2. Licence
We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use Hushnote on Apple devices you own or control, as the App Store Usage Rules permit. This is a licence, not a sale. The app, its code, design and trade marks remain ours. The licence ends if you breach these terms; you may end it at any time by deleting the app.
3. Free tier and Hushnote Pro
• Free. Hushnote is free to download. The free tier includes 3 meetings per calendar month of up to 20 minutes each, with transcript, summary, decisions and action items. A recording is never cut off at the limit; the app asks whether you want to continue with Pro. • Hushnote Pro is an auto-renewable subscription that removes those limits and adds export and sharing. Two plans are offered: monthly and yearly. Prices are shown in the app in your local currency before you subscribe and may vary by region. • Free trial. New subscribers may be offered a 7-day free trial. If you do not cancel at least 24 hours before the trial ends, the subscription starts and your Apple ID is charged the plan price. • Renewal. The subscription renews automatically at the end of each period at the then-current price unless you cancel at least 24 hours before the period ends. Apple charges your Apple ID within 24 hours before renewal. • Managing and cancelling. Open iPhone Settings › your name › Subscriptions, or the Restore / Manage links in the app. Deleting the app does not cancel a subscription. Cancelling stops the next renewal; access continues to the end of the paid period. • Payment and refunds are handled by Apple, not by us. We never receive your payment details. To request a refund use reportaproblem.apple.com; Apple's decision is final. • Restoring. A subscription is tied to your Apple ID and can be restored on your other devices with "Restore purchases".
4. Your content and recording other people
Everything you record and every note Hushnote writes is yours and stays on your iPhone; we never receive it, and we claim no rights in it (see the Privacy Policy). You are responsible for how you use the recorder. Recording a conversation may require the consent of the other participants under the laws where you and they are. Tell people when you are recording, and do not use Hushnote to record anyone unlawfully. You alone are responsible for your recordings and for what you do with the notes and exports.
5. Transcripts and AI notes are not guaranteed
Transcription is done by the speech recognition built into iOS, and summaries, decisions and action items are written by the language model built into iOS (Apple Intelligence). They can mishear, omit or misstate things, especially with accents, several speakers, background noise or technical vocabulary. Treat the output as a draft and check it before you rely on it. Do not use Hushnote as the only record of a legal, medical, financial or safety-critical matter. AI notes need an iPhone that supports Apple Intelligence (iPhone 15 Pro or newer) with it enabled. On other iPhones Hushnote records and transcribes but does not write summaries, and the app says so. We do not refund a subscription because a device does not support a feature that the app disclosed as unavailable on it.
6. Acceptable use
You agree not to: • reverse engineer, decompile or attempt to derive the app's source code, except where that right cannot be excluded by law; • copy, sell, rent, sublicense or distribute the app; • remove or alter any copyright, trade mark or other proprietary notice; • use the app to break any law or to infringe anyone's rights, including privacy and recording-consent laws; • circumvent the free-tier limits or the subscription check.
7. Availability and changes
We may add, change or remove features, change plan prices for future periods (Apple notifies you and asks for consent where its rules require it), or discontinue the app. Because Hushnote has no server, your meetings on your iPhone are unaffected by anything we do. We may update these terms; the effective date above changes and continued use means you accept the revision. Material changes to a subscription are announced in the app before they take effect.
8. No warranty
Hushnote is provided "as is" and "as available", without warranty of any kind, express, implied or statutory, including merchantability, fitness for a particular purpose, accuracy and non-infringement, to the fullest extent permitted by law. We do not warrant that the app will be uninterrupted or error-free, that a transcript or summary will be accurate, or that any defect will be corrected. Some jurisdictions do not allow these exclusions, and nothing here limits rights you have under applicable consumer protection law.
9. Limitation of liability
To the fullest extent permitted by law, Black Layers is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or other intangible loss, arising out of or relating to the app, a recording, a transcript or a note. Our total liability for all claims relating to Hushnote will not exceed the greater of what you paid us for Hushnote in the twelve months before the claim or CAD $50.
10. Apple
• This agreement is between you and Black Layers only. Apple is not a party and is not responsible for the app or its content. • Apple has no obligation to provide maintenance or support for the app. • If the app fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price; Apple has no other warranty obligation. • Apple is not responsible for addressing any claim relating to the app, including product liability, regulatory compliance or consumer protection. • Apple and its subsidiaries are third-party beneficiaries of this agreement and may enforce it against you.
11. Governing law
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts of Alberta, except where applicable law gives you the right to bring a claim where you live. If any provision is held unenforceable, the rest remains in effect.
